Shell plc Buys Back Shares as Part of Ongoing Program

Shell plc announced that on September 7, 2026, the company purchased a certain number of its own shares for cancellation as part of its ongoing share buy-back program. The transactions were executed by Goldman Sachs International, which operates independently of Shell plc in making trading decisions.

The share buy-back program was previously announced on July 30, 2026. The program will continue until October 23, 2026, during which Goldman Sachs International will make trading decisions independently. The on-market limb of the program will be conducted within pre-set parameters, following the company's general authority to repurchase shares on the market. The off-market limb will be executed in accordance with the company's general authority to repurchase shares off the market, as approved by shareholders and within the parameters set out in the off-market buyback contract.

This buy-back program is in compliance with the UK Listing Rules and Article 5 of the Market Abuse Regulation 596/2014/EU, as well as the corresponding regulations as "onshored" into UK law from the end of the Brexit transition period. The program aims to manage the company's capital structure and optimize shareholder value through the strategic management of its share capital.

Shell plc continues to adhere to regulatory guidelines to ensure transparency and fairness in its share buy-back activities. The company will provide regular updates on the progress of the share buy-back program as required by the relevant regulations.
