SciBase to Issue SEK 57.5 Million in New Shares for US Market Expansion

STOCKHOLM, Sept. 3, 2026 /CourierPR/ -- SciBase Holding AB (publ) is set to issue approximately SEK 57.5 million in new shares through a rights issue, aiming to bolster its commercialization efforts, particularly in the United States market. The decision was made by the company's board of directors, acting on the authorization granted by the annual general meeting held on May 19, 2026.

All existing shareholders will receive one subscription right for each share they hold by the record date of September 10, 2026. Eight subscription rights will allow the holder to subscribe for three new shares at a price of SEK 15 per share. A total of approximately SEK 33.3 million in subscription undertakings has been pledged by several major shareholders, including Ribbskottet AB, Castle Biosciences Inc, Haga Gruppen Holding AB, Life Science Invest Fund 1 ApS, and Praktikerinvest AB. Additionally, Bergs Securities AB has committed to a guarantee of approximately SEK 24.2 million, covering about 42 percent of the rights issue.

The rights issue, set to take place from September 15 to September 29, 2026, will provide SciBase with the necessary financial backing to further its commercialization activities in the US market. The net proceeds from the rights issue will be used to drive the company's growth, with a particular focus on expanding its melanoma diagnostics business in the United States.

Pia Renaudin, CEO of SciBase, highlighted the company's progress: "SciBase is in an exciting period, with positive developments in our melanoma diagnostics business in the United States, and we are optimistic about the potential for reimbursement in the near future. SciBase is a medical technology company that specializes in early detection and prevention of skin diseases through the commercialization of Nevisense, a patient-centric platform combining AI and Electrical Impedance Spectroscopy (EIS) technology. The company has seen strong growth in its melanoma diagnostics business in the United States, with sales up 79 percent year-over-year.

The rights issue is part of SciBase's broader strategy to capitalize on market momentum and ensure it can meet increasing demand for its products. With the rights issue, the company aims to secure the financial resources necessary for its expansion plans, particularly in the US market, where access to reimbursement is expected to play a critical role in the near future.

The rights issue will officially commence on September 15, 2026, with the record date for subscriptions set for September 10, 2026. The subscription period will run until September 29, 2026, with trading in subscription rights expected to occur from September 15 to September 24, 2026.
