SATO Technologies Corp. has completed a significant financial transaction, settling a debt of C$25,000 through the issuance of 250,000 units of the company. Each unit consists of one common share and one-half of one common share purchase warrant. The warrants allow the holder to acquire one additional common share at an exercise price of C$0.20 per share for a period of two years from the date of issuance, subject to potential acceleration.

The debt settlement was in full and final settlement of the Indebtedness owed to a certain creditor as of August 7, 2026, pursuant to a consulting agreement. The Indebtedness represented payments for services accrued under the agreement and was not considered investor relations services. The creditor was an arm's length party to the company, and the issuance of the units did not result in the creation of a new insider or control person.

The transaction remains subject to the final approval of the TSX Venture Exchange (TSXV) and the securities issued in connection with the debt settlement are subject to a statutory hold period of four months and one day from the date of issuance, in accordance with applicable securities laws.
