The company plans to issue up to 10 million units at a price of $0.35 per unit, raising a maximum of $3.5 million. Each unit will consist of one common share and one-half of a common share purchase warrant. The warrants will allow the holder to purchase an additional common share at $0.60 for a period of two years from the closing date.
Insiders may participate in the financing, and finders' fees may be paid on a portion of the financing. Net proceeds will be used for working capital and exploration. All securities issued in the financing are subject to a four-month hold period and require regulatory approvals, including the acceptance of the TSX Venture Exchange.
