S-Bank Plc Receives Regulatory Approval for Oma Savings Bank Tender Offer

S-Bank Plc has received all necessary regulatory approvals for its voluntary public cash tender offer for all the shares in Oma Savings Bank Plc. The tender offer, announced on July 9, 2026, aims to acquire all shares in Oma Savings Bank that are not held by the bank itself or its subsidiaries. The offer period commenced on July 17, 2026, and will expire on September 25, 2026, unless extended.

S-Bank Plc, a well-capitalized bank and part of the domestic S Group, has obtained the approval required from the European Central Bank for the acquisition of a qualifying holding in Oma Savings Bank. This approval is in accordance with the Act on Credit Institutions (610/2014, as amended). With this regulatory clearance, S-Bank Plc has fulfilled the condition to complete the tender offer, which was contingent upon receiving all necessary regulatory approvals.

The tender offer remains subject to other conditions, including the acceptance of the tender offer by shareholders representing more than 90 percent of the shares and voting rights of Oma Savings Bank. The tender offer document, which was published on July 16, 2026, and has been supplemented with additional information on August 31 and September 7, 2026, is available on the internet at specified websites.

The offer is not being made in Australia, Canada, Hong Kong, Japan, New Zealand, or South Africa, and any acceptance of the tender offer must be based on the information provided in the tender offer document.

The completion of the tender offer remains conditional on the fulfillment of certain other conditions, including the acceptance of the tender offer by shareholders representing more than 90 percent of the shares and voting rights of Oma Savings Bank.
