S-Bank Launches Tender Offer for Oma Savings Bank

S-Bank Plc has announced a significant step in its strategic move to consolidate its presence in the Finnish banking market through a voluntary public cash tender offer for Oma Savings Bank Plc. The tender offer, first announced on July 9, 2026, seeks to acquire all issued and outstanding shares in Oma Savings Bank, excluding those held by Oma Savings Bank and its subsidiaries.

The tender offer document, published on July 16, 2026, was supplemented with additional information on August 14 and 31, 2026. The Finnish Financial Supervisory Authority approved these supplements, ensuring that the tender offer complies with all relevant regulations.

The offer period for the tender offer commenced on July 17, 2026, at 9:30 a.m. (Finnish time) and is set to expire on September 25, 2026, at 4:00 p.m. (Finnish time), unless extended or discontinued in accordance with the terms and conditions of the offer.

A key update was issued on September 2, 2026, when Oma Savings Bank announced that its Board of Directors had resolved to treat and terminate its existing share-based incentive plans upon the successful completion of the tender offer. This decision reflects the board's confidence in the strategic direction of S-Bank and the anticipated benefits of the merger.

The Third Supplement to the Tender Offer Document, which was approved by the Finnish Financial Supervisory Authority, was released on September 7, 2026. It is available in both Finnish and English versions on the respective company websites.

Oma Savings Bank, a well-capitalized and profitable Finnish bank, serves over 200,000 personal and corporate customers through 48 branches and digital channels. The bank focuses on retail banking, offering a range of services including credit, investment, and loan protection products, as well as mortgage banking operations.

S-Bank has the flexibility to waive these conditions, provided that such actions comply with applicable laws.

The tender offer is not subject to the same regulatory requirements as a tender offer in the United States, and it is being made in accordance with Finnish law and procedures.
