Rubis, a distributor of energy and mobility solutions operating in 45 countries across Africa, the Caribbean, and Europe, has announced its intention to convert the group into a joint-stock company (Société Anonyme). This move, which builds on the company's history and marks a further step in the succession and management transition process initiated by the two founders, is aimed at opening a new chapter in the Group’s development.
According to a press release issued on October 19, 2026, the Supervisory Board of Rubis has determined that the proposed conversion is in the best interests of the Group and its shareholders. The Supervisory Board, which will retain its 11 current members and be expanded to include Jacques Riou and Clarisse Gobin-Swiecznik, has issued a favourable opinion on the proposal. Marc-Olivier Laurent, who will continue as Chairman of the Supervisory Board, expressed warm welcome to the proposal, stating that it represents an important and positive development for Rubis.
Jean-Christian Bergeron, proposed as Chairman of the Management Board, along with Marc Jacquot (Finance, IT & Renewables) and Fred Royer (Bitumen & Business Development), will support Rubis' continued development as a leading player in energy and mobility solutions. The conversion will allow the Group to strengthen its management continuity, simplify its governance structure, and enhance its stock market profile, making it more attractive to a broad investor base.
The General Partners, who will become reference shareholders, have committed to retaining their shares for two years, independently of any executive management role. This commitment is subject to customary exceptions. The conversion will also provide greater strategic and financial flexibility to pursue new opportunities for development and growth through acquisitions.
The General Partners will receive 12,719,328 newly issued Rubis shares, representing approximately 12.3% of the Company’s share capital before issuance and approximately 11.0% after issuance. This compensation falls within the range set out in the report prepared by Ledouble, the independent expert appointed by the Supervisory Board.
Completion of the conversion remains subject to the Autorité des marchés financiers (AMF) issuing a decision confirming that no mandatory tender offer is required, and to approval by Rubis’ shareholders at a Shareholders’ Meeting expected to be held on December 9, 2026.
Rubis, with its 4,600 employees and a network of over 1,160 service stations in 22 countries, has consolidated its leadership position through selective acquisitions and partnerships, entering new territories with an approach centered on value creation and entrepreneurial spirit. As a signatory of the United Nations Global Compact, Rubis aims to continue its commitment to sustainability and corporate responsibility.
The conversion into a joint-stock company is expected to enhance Rubis' position as a major player in the production and distribution of energy and mobility solutions, while maintaining the quality of its teams, its decentralised model, and its entrepreneurial spirit.
