Rackla Metals Inc., a Vancouver-based junior exploration company, has announced a $3.65 million non-brokered private placement to raise capital for its exploration activities. The funds will be used to support the company’s ongoing exploration efforts, particularly in the Lentung tungsten property located within the Tombstone Gold Belt in western Northwest Territories, Canada.
The private placement will issue up to 10 million flow-through units (FT Units) at a price of $0.365 each. Each FT Unit will consist of one flow-through common share and one common share purchase warrant. The warrants will allow the holder to purchase one non-flow-through common share at an exercise price of $0.365 for a period of 24 months following the closing of the Offering.
The Offering is structured to take advantage of the LIFE (Listing Issuer Financing Exemption) exemption, which allows the common shares issued to be freely tradeable listed equity securities without any hold period. The proceeds from the sale of the flow-through common shares will be used by Rackla Metals to incur eligible Canadian exploration expenses, known as flow-through mining expenditures, to be renounced in favour of the purchasers by December 31, 2027.
According to Simon Ridgway, CEO and Director of Rackla Metals, the company is focused on advancing its tungsten and rare earth mineral exploration in the Tombstone Gold-Tungsten Belt. "This private placement is crucial for us to continue our exploration activities and bring our properties to the next level," said Ridgway.
The funds raised will support the company’s exploration and drilling plans, aiming to uncover and develop valuable mineral resources. Ridgway added, "Our goal is to ensure that our exploration activities are not only focused on the Lentung property but also contribute to the broader exploration efforts in the region."
The Offering is subject to approval from the TSX Venture Exchange and is expected to be completed as planned. Rackla Metals has provided an offering document for prospective investors to review before making any investment decisions. The document is accessible on the company’s website and the SEDAR+ platform.
Rackla Metals Inc. is committed to conducting its exploration activities in a responsible and environmentally sustainable manner. The company’s plans include not only exploration but also potential development activities that could lead to the extraction and processing of tungsten and rare earth minerals.
With the private placement, Rackla Metals aims to strengthen its financial position and secure the necessary resources to advance its projects. The company is optimistic about the potential for significant discoveries in the Tombstone Gold-Tungsten Belt, which could have a positive impact on its future operations and shareholder value.
In summary, Rackla Metals Inc. has embarked on a $3.65 million private placement to fund its exploration and drilling activities, highlighting its commitment to the development of valuable mineral resources in the Tombstone Gold-Tungsten Belt.
