Pro Kapital Grupp Raises EUR 11.976 Million in Oversubscribed Bond Offering

On Friday, 18 September 2026, AS Pro Kapital Grupp successfully completed a public bond offering, raising a total of EUR 11,976,000. The offering, which initially aimed to issue up to 6,000 bonds with a nominal value of EUR 1,000 each, was more than two times oversubscribed. The bonds carry an annual interest rate of 8.3% and a maturity date of 25 September 2028, with the first interest payment due on 28 December 2026.

The base size of the offering was set at EUR 6 million, but due to strong demand, Pro Kapital exercised its right to increase the size of the issue by 4,000 bonds, ultimately issuing a total of 10,000 bonds. The subscription volume from investors in Estonia, Lithuania, and Latvia was significant, with 77.5% of the total subscription amount, EUR 9.3 million, coming from Estonia, EUR 1.7 million from Lithuania, and EUR 1.0 million from Latvia.

The allocation of the bonds was made according to specific principles. Investors who subscribed for at least 100 bonds were allocated 100% of the amount subscribed by them. All other investors were allocated 56.5% of the amount subscribed, but no fewer than 3 bonds and no more than the amount subscribed by the respective investor.

The capital raised through this issue will be used to fully redeem the existing secured bonds (ISIN SE0013801172; outstanding nominal amount EUR 10,545,000, to which accrued interest will be added) and to terminate their listing on the Nasdaq Stockholm exchange.

The successful bond issue, which was more than two times oversubscribed, enabled Pro Kapital to consolidate its financing in the Baltic States, where the company’s business operations and real estate portfolio are located. The bonds will be transferred to the investors' securities accounts on 25 September 2026 or a date close to that, and the first trading day of the bonds on the Baltic Bond List of Nasdaq Tallinn is expected to be on the same date.
