Oportun Grants Equity Awards to New Chief Risk Officer

SAN MATEO, Calif., Sept. 11, 2026 /CourierPR/ -- Oportun Financial Corporation, a mission-driven financial services company, has announced a significant inducement grant to its new Chief Risk Officer, Sean Rowles. On September 10, 2026, the company awarded Rowles a long-term equity package consisting of 382,653 restricted stock units (RSUs) and 127,551 performance-vesting restricted stock units (PSUs).

The RSUs represent the right to receive an equivalent number of shares of Oportun's common stock. These units will vest in three installments: one-third of the award will vest on the one-year anniversary of the grant date, and the remaining two-thirds will vest in eight equal quarterly installments over the next two and a half years. Consequently, the RSUs will be fully vested by the third anniversary of the grant date.

The PSUs, on the other hand, are eligible to vest after a three-year performance period. The vesting of both the RSUs and PSUs is contingent upon Rowles remaining in continuous service with the company through the relevant vesting dates. This inducement grant was part of the offer letter agreement signed between Oportun and Rowles on June 16, 2026.

The inducement equity award is in line with the terms of Oportun's Amended and Restated 2021 Inducement Equity Incentive Plan and applicable award agreements. The offer letter agreement, which details the terms of Rowles's employment, was filed as Exhibit 10.2 to the company's Current Report on Form 8-K on June 18, 2026. The Amended and Restated 2021 Inducement Equity Incentive Plan and the forms of RSU and PSU award agreements are also filed as exhibits to the company's Quarterly Report on Form 10-Q on May 8, 2026.
