Onconetix Provides $5 Million Bridge Financing to Realbotix LLC

Onconetix, Inc., a commercial-stage biotechnology company, has provided a strategic bridge financing facility to Realbotix LLC, a subsidiary of Realbotix Corp. The $5 million facility, with an initial advance of $2.5 million, is aimed at supporting Realbotix's growth and working capital needs while the parties advance toward the pending acquisition. This move is part of the Share Exchange Agreement announced on February 12, 2026.

The non-interest-bearing facility is designed to be automatically cancelled and discharged in full upon the closing of the acquisition. Additionally, the cash required at closing will be reduced by the total principal advanced under the facility plus an additional $500,000. If the Share Exchange Agreement is terminated, interest will accrue at 12% per annum from the date of termination.

Onconetix, Inc., based in Cincinnati, Ohio, is focused on the research, development, and commercialization of innovative oncology solutions. The company owns Proclarix®, an in vitro diagnostic test for prostate cancer, which it anticipates will be marketed in the U.S. through a license agreement with Labcorp. Realbotix LLC, headquartered in the United States, develops AI-powered humanoid robots for human interaction across enterprise and consumer environments.

The acquisition, expected to be completed after Onconetix shareholder approval, regulatory approvals, and other closing conditions are met, is anticipated to enhance Onconetix's capabilities in the AI and robotics sectors. The combined company is expected to continue trading on Nasdaq following the closing.

The transaction is subject to various conditions, including stockholder approval and regulatory clearance. Onconetix plans to file a Registration Statement on Form S-4 with the SEC to register the common stock to be issued in connection with the proposed transaction. The definitive Proxy Statement/Prospectus will be sent to Onconetix stockholders to seek their approval of the proposed transaction.
