Oma Savings Bank Plc is set to undergo significant changes following the completion of a tender offer by S-Bank Plc, which has acquired a majority stake in the company. The tender offer, announced on 9 July 2026, saw S-Bank Plc acquire approximately 96.79% of Oma Savings Bank’s shares, effectively giving it the right to redeem the remaining shares under Finnish law.

On 5 November 2026, Oma Savings Bank Plc will hold an Extraordinary General Meeting to address these changes. The meeting, to be conducted virtually, will see the company propose several resolutions aimed at restructuring its governance and operations. The agenda includes the removal of the Shareholders' Nomination Committee, the election of a new board of directors, and the appointment of an auditor.

The Offeror, S-Bank Plc, has proposed that Section 6 of the Articles of Association, concerning the Shareholders' Nomination Committee, be removed. This will lead to a renumbering of the remaining provisions. The board size will be reduced to five members, with proposed candidates including Riikka Laine-Tolonen, Mika Heikkilä, Jussi Sokka, Karri Alameri, and Irma Gillberg-Hjelt. Alameri, who has served as the company’s Chief Executive Officer since 2025, is not independent of the company and its significant shareholders. Gillberg-Hjelt, on the other hand, is independent.

The remuneration of the board members will be determined based on the resolution of the 2026 Annual General Meeting, with no remuneration for members in full-time employment with a company in the S-Bank Group. The auditor, KPMG Oy Ab, will be elected for a term ending at the close of the 2027 Annual General Meeting. The assurer of the sustainability reporting will also be KPMG Oy Ab, with Tuomas Ilveskoski, an authorised sustainability reporting auditor, taking the lead role.

In addition, the Shareholders' Nomination Committee will be disbanded, effective immediately upon the Extraordinary General Meeting. The minutes of the meeting will be available on the company’s website by 19 November 2026.

Shareholders registered in the company’s shareholder register on 26 October 2026 have the right to participate in the meeting. Registration for the meeting will begin on 15 October 2026 and must be completed by 29 October 2026 by 4 pm (EET). Instructions for participation are available on the company’s website at www.omasp.fi/en/extraordinary-general-meeting-2026.

Oma Savings Bank Plc has a total of 33,356,729 shares, of which S-Bank Plc holds 133,741 of its own shares. The tender offer was completed on 7 October 2026, with the offer price paid to shareholders who accepted the tender offer during the original period. The remaining shareholders will be subject to redemption at a fair price, as per the Finnish Limited Liability Companies Act.

The Extraordinary General Meeting will conclude with the closing of the meeting, marking a significant shift in the governance and operations of Oma Savings Bank Plc.
