NTG Nordic Transport Group has announced the completion of its share buy-back program, which was launched on March 5, 2026. The share buy-back program was executed in accordance with European regulations, specifically Regulation No. 596/2014 and Commission Delegated Regulation (EU) 2016/1052, also known as the Safe Harbor rules. NTG was authorized to purchase up to 1,250,000 of its own shares, equivalent to DKK 25,000,000, or 5.52% of its current share capital. The program ran from March 5, 2026, to November 9, 2026, inclusive.
During the program, NTG successfully executed several transactions, resulting in the company now owning 994,487 treasury shares, accounting for 4.39% of its current share capital. The transactions were executed in accordance with the principles outlined in the Safe Harbor rules, ensuring transparency and compliance.
The share buy-back program was designed to address various corporate needs, including obligations to minority shareholders under the "Ring-the-Bell" concept, as well as fulfilling obligations arising from share-based incentive programs. The company also indicated that the program could potentially be used for other purposes, such as payment in relation to potential mergers and acquisitions.
According to the terms of the program, NTG aimed to repurchase its shares for an aggregate maximum amount of DKK 200,000,000. The transactions were carried out within the specified timeframe, reflecting the company's commitment to managing its capital effectively and maintaining a balanced share structure.
