NEW YORK, Oct. 06, 2026 /CourierPR/ -- Nexus Advanced Technologies Inc., a company pursuing strategic investments and partnerships in AI infrastructure and advanced technologies, has entered into an exclusivity agreement to negotiate a potential reverse merger with a U.S. defense technology company. The deal, if finalized, could be valued at approximately $500 million, subject to due diligence and negotiation of definitive transaction terms.

The identity of the U.S. defense technology company remains confidential for now. According to information provided by the company, it holds a license for weapons technology aimed at addressing counter-drone defense applications. Nexus is currently evaluating the technology, the scope of the license, and the company's commercialization prospects as part of its transaction review.

The U.S. defense technology company has received non-binding letters of intent relating to potential projects with an aggregate indicated value of approximately $7 billion. These letters of intent are preliminary and non-binding, and there can be no assurance that they will result in definitive agreements or completed projects.

If a transaction is completed on terms currently under discussion, the structure could involve a merger of the U.S. defense technology company with a subsidiary of Nexus, with the U.S. defense technology company’s shareholders acquiring a majority ownership interest in the combined company and a resulting change of control of Nexus. The final transaction structure, ownership percentages, financing arrangements, and other material terms remain subject to negotiation and are not yet determined.

Any transaction would be subject to, among other things, satisfactory completion of due diligence by each party, negotiation and execution of definitive agreements, receipt of applicable corporate and shareholder approvals, regulatory approvals, satisfaction of Nasdaq listing requirements, re-domiciliation of the Company as a US entity, and other customary closing conditions. There can be no assurance that a definitive agreement will be reached.
