Nexera Energy Inc., an energy company with oil producing properties in Southwest Texas, has announced the successful closing of the first tranche of its non-brokered private placement. The company issued 14,633,333 units at a price of $0.015 per unit, raising a total of $219,500. Each unit consists of one common share and one share purchase warrant, with each warrant entitling the holder to purchase one additional common share at a price of $0.10 for a period of 24 months from the issuance date.

In connection with this first tranche, Nexera Energy will pay a cash finder's fee of $1,950 to Leede Financial Inc. The warrants are subject to an acceleration clause. If the closing price of the common shares on the principal market equals or exceeds $0.15 for 30 consecutive trading days, the warrant expiry date will accelerate to 30 calendar days following the issuance of a press release announcing the reduced warrant term. This condition is met after four months and one day from the date the warrants are issued.

Nexera Energy intends to allocate the net proceeds from the first tranche as follows: $85,550 for additional audit fees related to the 2026 year-end financial statements, $91,500 for additional accounting and financial reporting support, $3,000 for TSX Venture Exchange fees, $20,500 for fees due to securities regulators, and $17,000 for legal fees related to applications, compliance, and the offering. The company plans to continue its efforts to complete the balance of the offering.

Nexera Energy Inc. also announced that it now owns 100% of Production Resources Inc., a South Texas oil company.

The common shares and warrants issued under this first tranche remain subject to the Cease Trade Order until a full revocation order is granted. The securities are also subject to applicable statutory resale restrictions, including a four-month hold period. The warrants will not be listed on any stock exchange. The first tranche closing remains subject to final acceptance by the TSX Venture Exchange.
