New Age Metals Completes $1 Million Private Placement

New Age Metals Inc., a Canadian junior mineral exploration and development company, has successfully closed a non-brokered private placement, raising $1 million through the issuance of 5 million units. Each unit consisted of one common share and one half of one share purchase warrant, with each warrant entitling the holder to acquire one additional common share at an exercise price of $0.25 per share for a period of 24 months, expiring on September 16, 2028.

The funds raised will support the company's ongoing exploration and development activities, including its flagship River Valley Palladium, Platinum Project, located in Ontario, Canada. The project is one of North America’s largest undeveloped primary palladium projects, supported by a 2023 Preliminary Economic Assessment. New Age Metals also holds a diverse portfolio of exploration assets, including the 100% owned Manitoba Lithium Division, Newfoundland Gold, Antimony Division, Gold and Critical Metals Division in Kenora, Ontario, Northern Ontario’s Ring of Fire Division, Thunder Bay PGM Division, and the Genesis PGM, Cu, Ni Project in Alaska.

In connection with the private placement, New Age Metals paid finder fees of $70,000 in cash and 350,000 finder’s warrants to Ventum Financial Corp. Each finder’s warrant entitles the holder to purchase one common share at a purchase price of $0.25 per share, expiring on September 16, 2028, subject to the same accelerated expiry date as the share purchase warrants.

The securities issued under this private placement are free trading, subject to a regulatory hold period expiring on January 17, 2027. The Offering was completed under the Listed Issuer Financing Exemption (LIFE) available under Part 5A of National Instrument 45-106 - Prospectus Exemptions, as amended by Coordinated Blanket Order 45-935 - Exemptions from Certain Conditions of the Listed Issuer Financing Exemption.
