BOSTON, MA, Sept. 25, 2026 /CourierPR/ -- Netcapital Inc., a fintech company, has faced a regulatory challenge after receiving a notice from Nasdaq on September 21, 2026. The company, which operates a scalable technology platform for private companies to raise capital online and provides investment opportunities, has been deemed non-compliant with Nasdaq Listing Rule 5250(c)(1). This rule mandates that listed companies timely file all required periodic financial reports with the Securities and Exchange Commission (SEC).

The notice stems from the company's failure to file its Quarterly Report on Form 10-Q for the fiscal quarter ending July 31, 2026, and its continued delinquency in filing the Annual Report on Form 10-K for the fiscal year ending April 30, 2026. The company had previously received a notice from Nasdaq on August 24, 2026, regarding the delinquent Form 10-K. At that time, it was given until October 23, 2026, to submit a plan to regain compliance, covering both delinquent reports.

If Nasdaq accepts the plan, the company may receive an exception of up to 180 calendar days from the original due date of the Form 10-K, allowing it until February 9, 2027, to regain compliance. If the plan is not accepted, the company can appeal to a Nasdaq Hearings Panel.

Netcapital Inc. intends to submit its compliance plan within the required timeframe and to file the Form 10-Q and Form 10-K as soon as practicable. However, the company cautions that there can be no assurance that Nasdaq will accept the plan or that the company will regain compliance within the exception period granted.

The company, known for its funding portal and broker-dealer services, operates under the symbol "NCPL" on The Nasdaq Capital Market. Its consulting group, Netcapital Advisors, provides marketing and strategic advice, while its funding portal, Netcapital Funding Portal, Inc., is registered with the SEC and is a member of the Financial Industry Regulatory Authority (FINRA). The broker-dealer, Netcapital Securities Inc., is also registered with the SEC and is a member of FINRA.

Forward-looking statements in the press release, including those regarding the company’s plan to regain compliance and the timing of its periodic filings, are subject to risks and uncertainties that could cause actual results to differ materially. These risks include the company's ability to complete the audit and review of its financial statements, the availability of financing, and the acceptance of its plan by Nasdaq.
