Nemak Launches Tender Offer and Consent Solicitation for Senior Notes

MONTERREY, Mexico, Sept. 15, 2026 /CourierPR/ -- Nemak, S.A.B. de C.V., a Mexican publicly traded company, has launched a tender offer and consent solicitation for its outstanding 2.250% Senior Notes due 2028. The tender offer, which is being managed by Scotia Capital (USA) Inc., aims to acquire all of the company’s outstanding notes. The offer is open until September 22, 2026, at 11:00 a.m. New York time (5:00 p.m. Central European Time).
Under the terms of the tender offer, noteholders who validly tender their notes and deliver corresponding consents will receive €1,000 for every €1,000 principal amount of notes tendered, plus any accrued and unpaid interest up to the settlement date. The company has the discretion to amend, extend, terminate, or withdraw the offer at any time.
Simultaneously with the tender offer, Nemak is soliciting consents to amend the indenture relating to the notes. The proposed amendments aim to eliminate restrictive covenants, certain events of default, and additional covenants and rights contained in the notes and indenture. The amendments also shorten the minimum notice period for redemptions from 30 days to three business days and reduce the period for providing an officers' certificate to the trustee from 45 days to three business days.
For the consent solicitation to be successful, noteholders must deliver consents representing at least a majority of the aggregate principal amount of the outstanding notes. If the required consents are received, the amendments will be implemented through the execution of a supplemental indenture, effective from the date of execution. The amendments will take effect on the settlement date, provided that the required consents are received and the total consideration is deposited with Euroclear Bank SA/NV or Clearstream Banking, société anonyme.
Noteholders who wish to tender their notes must deliver consents to the proposed amendments. They may not deliver consents without tendering the related notes, nor can they tender notes without delivering their consents. The tender of notes may be withdrawn and revoked prior to the withdrawal deadline, which is September 22, 2026, unless extended by the company.
The company expects the settlement date, subject to any extension of the expiration date, to be September 24, 2026.
