HERZLIYA, Israel, Oct. 01, 2026 /CourierPR/ -- Nayax, a global commerce enablement, payments, and loyalty platform, has completed its acquisition of IPS Group, Inc., a leading provider of payment-enabled smart parking technology. The all-cash transaction, valued at $350 million, marks a significant step for Nayax in expanding its market presence and enhancing its offerings.
Founded in 2000 and headquartered in San Diego, California, IPS Group has been a trusted provider of smart parking solutions for over two decades. With an installed base of more than 250,000 parking spaces across the United States, Canada, the United Kingdom, and Ireland, IPS brings a robust and established market presence to Nayax. The acquisition immediately establishes Nayax as a leader in smart parking, with a combined addressable cashless opportunity of approximately $342 billion by 2029.
IPS has spent more than 20 years earning the trust of the cities and operators it serves. As part of Nayax, its customers will gain access to a broader payments and EV charging ecosystem, while the IPS platform will gain a global stage. The transaction is expected to be immediately accretive to Nayax's gross margin, Adjusted EBITDA margin, Adjusted Earnings Per Share, and free cash flow conversion.
Nayax financed the transaction with cash on hand and approximately $150 million of new debt from Poalim Tech, the banking arm for tech companies of Bank Hapoalim, and First International Bank of Israel. The acquisition is expected to contribute approximately $20-22 million of revenue and greater than $5 million of Adjusted EBITDA to Nayax's FY 2026 results, reflecting the period from October 1, 2026, through December 31, 2026.
Nayax, with 13 global offices and approximately 1,250 employees, is well-positioned to leverage the IPS platform and expand its global footprint. As of June 30, 2026, Nayax has connections to more than 80 merchant acquirers and payment method integrations, and is recognized as a payment facilitator. The company's mission is to improve its customers' revenue potential and operational efficiency, effectively and simply.
The transaction is expected to be immediately accretive to Nayax's financials and is aligned with the company's progress toward its 2028 targets. With the addition of IPS, Nayax aims to offer cities, universities, and private operators a single differentiated platform that combines parking, payments, and EV charging at the curb.
