Naviam Acquires Cohesive from Bentley Systems

Naviam, the world's leading IBM Maximo partner, announced on September 7, 2026, a significant strategic move by entering into a definitive agreement to acquire Cohesive from Bentley Systems. This acquisition, coupled with a substantial growth investment from Norwest, is expected to solidify Naviam's position as the largest global IBM Maximo business partner.
Cohesive, a leading provider of IBM Maximo consulting, implementation, hosting, and support, serves hundreds of asset owners worldwide, including the UK's Ministry of Defence and Con Edison, one of the largest investor-owned utilities in the United States. The acquisition brings together Bentley Infrastructure Cloud, Naviam Cloud, and IBM Maximo, aiming to unlock greater value across the full asset lifecycle.

Bentley Systems will make a strategic equity investment in Naviam, becoming a minority shareholder and joining the company's board upon the transaction's completion. David Shaman, Chief Legal Officer of Bentley Systems, commented, "I am pleased to join Naviam's board as Bentley's representative. This deal is about accelerating a shared vision. The future of infrastructure asset management lies in the deep integration of engineering and operational data with enterprise systems to create and leverage evergreen digital twins."
Concurrent with the acquisition, Norwest, a leading growth equity firm, has entered into a definitive agreement to make a significant growth investment in the combined businesses. Norwest will work closely with Naviam's management team to support continued investment in Naviam's Maximo delivery capacity and product suite.
The transaction is expected to close on September 30, 2026, subject to the satisfaction of regulatory approvals and other customary closing conditions. Financial terms of Bentley's investment and the Cohesive transaction were not disclosed.
