Under the terms of the agreement, Kin Communications Inc., based in Vancouver, will provide investor relations and corporate communications services. Kin will receive a monthly fee of C$15,000, plus applicable taxes, and will engage in investor and broker outreach, shareholder communications, and the development of investor materials. Additionally, Kin will be granted 300,000 stock options exercisable at C$0.35 per common share for a period of five years, vesting 25% every three months starting three months after the grant date. Kin is owned by President & CEO Arlen Hansen and is unrelated to Mogul.
Market One Media Group Inc., also based in Vancouver, will undertake a 12-month investor marketing and media program aimed at increasing awareness among Canadian investors. The program will include a variety of investor-focused content, such as video and editorial pieces, digital advertising, and social media distribution. Market One will receive an upfront cash fee of C$59,500, plus applicable taxes, with no performance factors or securities compensation.
Integral Wealth Securities Limited will provide market-making services to maintain a reasonable market and improve the liquidity of Mogul’s common shares. Integral will be paid a monthly cash fee of C$6,000, plus applicable taxes, with no performance factors or securities compensation. The agreement has a minimum term of three months and can be extended on a month-to-month basis with 30 days’ prior notice.
Mogul, a gold-silver exploration company focusing on Nevada’s Walker Lane Trend, is well-positioned with its flagship Rays-West Dome Project.
