Maximus Metals Inc. to Acquire MDC Shares Expanding Asset Portfolio

Vancouver, British Columbia, Maximus Metals Inc. has entered into a share exchange agreement with Maximus Deal Corp. to acquire all of MDC's issued and outstanding common shares, marking a significant move in the company’s strategic growth.
Under the terms of the agreement, dated September 3, 2026, Maximus Metals will purchase all MDC shares in exchange for common shares of Maximus Metals. The transaction, anticipated to occur upon the satisfaction of certain conditions, will add valuable resource assets to Maximus Metals' portfolio, including the Climax Star Tungsten Property in Nevada and the option to acquire the Marcofán investigation permit in Spain.
"We are excited about this opportunity," said Santiago Suárez-Florez, CEO of Maximus Metals. "The addition of these assets will diversify our portfolio and provide exposure to critical minerals, a key element in our strategic vision."
The acquisition of the Climax Star Tungsten Property will bolster Maximus Metals' presence in the North American market, while the Marcofán investigation permit could open up new opportunities in Europe. The combined company aims to leverage the synergies of these assets, positioning itself for robust growth.
"This transaction is a strategic step towards achieving our goal of diversification and expanding our asset base," added Gianluca Iacono, President of Maximus Metals.
To finance the transaction, Maximus Metals plans to complete a concurrent offering of subscription receipts for at least $2 million. The net proceeds will be used to cover the transaction costs and to support exploration activities on the company's mineral properties.
The deal is subject to several conditions, including shareholder and board approvals, and the satisfaction of regulatory requirements. Maximus Metals also intends to appoint new board members, including Marianella Bernal and Carlos Nuñez, to further strengthen its leadership.
Carlos Nuñez, with extensive experience in the energy and infrastructure sectors, will join as a key executive. He currently serves as President of Qvartz Oil & Gas Corporation and has a long-standing career in legal and regulatory affairs.
The proposed transaction is expected to significantly enhance Maximus Metals' position in the resource sector, providing a broader portfolio of exploration and development assets. The company anticipates that the combined entity will benefit from a stronger asset base and enhanced access to capital.
Maximus Metals aims to advance its projects and deliver value to shareholders through this strategic move. The next steps include completing the Concurrent Offering and obtaining necessary approvals, with the expectation that the transaction will close in the coming months.
