SHANGHAI, Sept. 30, 2026 /CourierPR/ -- Lufax Holding Ltd, a leading financial services enabler for small business owners in China (NYSE: LU and HKEX: 6623), has announced plans to change its American Depositary Shares (ADS) ratio. Currently, one ADS corresponds to two ordinary shares, but the company intends to adjust this ratio to one ADS for every twenty ordinary shares. This change is expected to take effect on or about October 23, 2026.

According to the company, the new ratio will have the same effect as a one-for-ten reverse ADS split. On the Effective Date, registered holders of ADSs held in certificated form will be required to surrender their certificated ADSs to Citibank, N.A., the depositary bank for Lufax's ADS program, for mandatory cancellation. In exchange, they will receive one new ADS for every ten existing ADSs. Holders of ADSs in the Direct Registration System (DRS) and in the Depository Trust Company (DTC) will have their ADSs automatically exchanged and will not need to take any action.

No fractional new ADSs will be issued in connection with the change in the ADS Ratio. Instead, fractional entitlements to new ADSs will be aggregated and sold by the Depositary Bank. The net cash proceeds from the sale of these fractional ADS entitlements, after deduction of fees, taxes, and expenses, will be distributed to the applicable ADS holders by the Depositary Bank.

Lufax's ADSs will continue to be traded on the New York Stock Exchange under the symbol "LU." The company notes that the change in the ADS Ratio is expected to result in an increase in the ADS trading price, although it cannot guarantee that the new trading price will be ten times the current price.

The company has stated that the change in the ADS Ratio will have no impact on its underlying ordinary shares. No ordinary shares will be issued or cancelled in connection with the change. Lufax has also emphasized that the announcement includes forward-looking statements, which are subject to risks, uncertainties, and other factors that are difficult to predict and many of which are beyond the company's control.

Lufax has established relationships with over 85 financial institutions in China as funding partners, many of which have worked with the company for over three years. The company continues to offer financing products designed to address the needs of small business owners and others, leveraging these partnerships to provide access to a wide range of financial services.

This change in the ADS Ratio is part of Lufax's ongoing efforts to enhance its financial structure and align with market trends. The company remains committed to providing innovative financial solutions to support the growth of small businesses in China.
