British Columbia, October 20, 2026 - TheNewswire, Lighthouse Gold Inc. has executed a definitive property option purchase agreement to acquire the Mariwa, Sardine Hill, Lower Cuyuni Gold Property, located within Guyana's emerging Oko Gold District. This agreement represents a significant milestone in the company's strategy to establish a district-scale exploration portfolio within the Guiana Shield.
The Mariwa, Sardine Hill, Lower Cuyuni Gold Property comprises three contiguous Mining Permits Medium Scale (MPMS) totaling approximately 3,240 acres. The property is situated within the Oko Gold District, approximately 31 kilometers from the Oko West Gold Project, 18 kilometers from the Groete Creek Gold-Copper Project, and 8 kilometers from the Wariri Gold Mine.
Historical exploration of the property has outlined a large structurally controlled gold system supported by drilling, trenching, geochemistry, and geophysics. Notable historical drill intercepts include 113.5 meters grading 1.39 grams per tonne (g/t) gold from near surface (inclined holes; true widths unknown). Trenching has returned up to 17.40 g/t gold over 1 meter. Multiple geophysical and geochemical targets remain untested by drilling.
The property also includes a 10-kilometer Area of Interest provision, supporting additional district-scale growth opportunities. The acquisition is subject to the terms of a Definitive Agreement, which grants Lighthouse the exclusive right to acquire a 100% interest in the property. The agreement is exercisable within four years and is subject to certain conditions, including the payment of a US$100,000 non-refundable deposit, a US$150,000 cash payment within five business days of acceptance, the issuance of 35,000,000 common shares of Lighthouse Gold at a deemed price of $0.185 per share, and cash payments of US$200,000 on or before each of the first four anniversaries of the effective date of the Definitive Agreement, totaling US$800,000.
Upon exercise of its option and payment of the balance of the consideration, Lighthouse will acquire the vendor's interest in the Property, subject to a 1.0% net smelter returns royalty in favor of the vendor. The company retains the right to purchase the entire royalty for US$4,000,000. In addition, the Definitive Agreement includes a 10-kilometer Area of Interest provision under which Lighthouse may elect, within 60 days of notice, to add to the Property, at cost, any mineral rights staked or acquired by the vendor or its affiliates within 10 kilometers of the Property during the term of the Definitive Agreement.
Lighthouse Gold Inc. has mobilized its technical team and commenced drafting a work program designed to unlock the Property's exploration potential. The program includes the compilation and digitization of historical exploration data into a modern digital database, the reconstruction and validation of historical drill holes, geochemical, and geophysical datasets, comprehensive geological, structural, and targeting interpretation, confirmation, ranking, and prioritization of high-quality exploration targets for near-term follow-up, and planning and permitting of follow-up geological mapping, geochemical surveys, trenching, and drilling programs.
The company also announced the grant of an aggregate of 2,775,000 stock options to directors, officers, and consultants of the company, pursuant to the company's equity incentive plan. Each option is exercisable to acquire one common share at an exercise price of $0.20 per common share for a period of five years from the date of grant.
