Libra Energy Upsizes Financing Offering to $2 Million

Libra Energy Materials Inc., a Canadian mineral exploration company, has announced an upsizing of its financing offering. The company, which is listed on the Canadian Securities Exchange (CSE: LIBR), the OTCQB (OTCQB: LIBRF), and the Frankfurt Stock Exchange (FSE: W0R0), has increased the size of its LIFE Offering from $700,000 to $2 million due to strong investor demand.

The LIFE Offering, which was first announced on August 28, 2026, and amended on September 4, 2026, now includes the issuance of up to 15,000,000 common shares (HD Shares) at a price of $0.10 per share, raising up to $1,500,000. Additionally, the offering now includes the issuance of up to 3,846,153 critical flow-through shares (CMETC FT Shares) at a price of $0.13 per share, raising up to $500,000. The total gross proceeds from the LIFE Offering are now capped at $2 million.

According to the Amended Offering Document, the company's right to increase the size of the LIFE Offering has been expanded to allow for the issuance of up to 15,000,000 HD Shares and 3,846,153 CMETC FT Shares. The LIFE Offering is being conducted in reliance on Part 5A.2 of National Instrument 45-106, Prospectus Exemptions, as modified by Coordinated Blanket Order 45-935, Exemptions from Certain Conditions of the Listed Issuer Financing Exemption.

The LIFE Offering is expected to close on or about September 17, 2026, and may close in one or more tranches. The company's flagship projects include the recently optioned Cisco West and Obamska lithium projects in Québec, as well as the Flanders North, Flanders South, and SBC lithium projects in Ontario, which are being explored under a CAD $33 million earn-in deal with KoBold Metals Company.
