Lexaria Bioscience Corp. has announced the exercise of warrants, generating approximately $5.9 million in gross proceeds. The warrants, originally issued in 2024 and 2025, were exercised at a reduced price, with each warrant now valued at $12.92.

According to the release, the company entered into definitive agreements for the immediate exercise of 453,969 shares. These shares, originally issued at exercise prices ranging from $17.85 to $45.90, are now being exercised at a reduced rate. The closing of the transaction is expected on September 9, 2026, subject to customary closing conditions.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering. The company will use the net proceeds for working capital and general corporate purposes. Rich Christopher, CEO of Lexaria, expressed satisfaction with the transaction, stating, "The potential proceeds from this transaction, combined with a recent $2.6 million tax rebate, may be utilized to fund our operations and research and development programs in 2027."

The exercise of the warrants will result in the issuance of new unregistered Series A and Series B warrants. The Series A warrants will allow the purchase of up to 453,969 shares at an exercise price of $12.67, expiring five years from the effective date of the Resale Registration Statement. The Series B warrants will also allow the purchase of up to 453,969 shares at the same price, expiring eighteen months from the effective date of the Resale Registration Statement.
