Turin, September 4, 2026, The Board of Directors of Iveco Group N.V. ("IVG") has approved the company’s position statement regarding a voluntary tender offer by TML CV Holdings B.V. for all issued common shares of IVG. This decision follows a comprehensive review of the offer, including an assessment of its fairness and terms.
The tender offer, initiated by TML CV Holdings B.V., is set at a price of €14.10 per share (cum dividend), totaling approximately €6.1 billion for the acquisition of IVG. In approving the position statement, the Board considered several key documents and opinions, including the offer document approved by the Italian securities regulator, CONSOB, and a fairness opinion from Goldman Sachs Bank Europe SE, Succursale Italia.
The Board's evaluation was also informed by an independent board members' opinion issued by Rothschild & Co Italia S.p.A., which also provided a fairness assessment. According to these documents, the price offered by TML CV Holdings B.V. was deemed fair from a financial standpoint.
The decision was reached after a thorough examination by the Board, with Suzanne Heywood and Alessandro Nasi abstaining from the vote due to their declarations under applicable regulations. The final vote was unanimous, reflecting the Board's collective assessment of the offer's financial merits.
