Invalda INVL Sells 100% of UAB Litagra to Infortar Agro

On September 7, 2026, Invalda INVL and AS Infortar subsidiary OÜ Infortar Agro signed an agreement to sell 100% of UAB Litagra, a leading agricultural group in Lithuania. The transaction is expected to close by the end of the year, subject to regulatory approvals and other conditions.

Invalda INVL, which holds 48.81% of UAB Litagra, is selling the shares to OÜ Infortar Agro, marking the end of a 15-year investment cycle for the Baltic asset management group. The deal aims to boost Infortar’s presence in the Baltic agricultural market, where it is already a significant player through its acquisitions of Estonia Farms and Halinga Farms.

UAB Litagra, established in 1991, is a diversified agricultural group with operations in dairy and crop farming, poultry farming, feed production, and other agriculture-related activities. The group comprises 34 companies, employs nearly 400 people, and generated a consolidated revenue of EUR 69 million and EBITDA of EUR 14.5 million in 2025. Litagra’s key subsidiary, UAB Litagros Žemės Ūkio Centras, operates eight farms and is known for its dairy herd of approximately 8,300 animals, producing an average of 35,000 tonnes of raw milk annually. UAB Sūduvos Ūkis, another subsidiary, is the largest turkey farming company in the Baltic region, operating six sites with a total of 29 farms and 160,000 turkeys.

Infortar, an Estonian conglomerate with interests in maritime transport, energy, real estate, and agriculture, sees this acquisition as a strategic move. Ain Hanschmidt, CEO of Infortar, stated, “Estonia and Lithuania have historically been agricultural countries. Our latitude and climate are well suited to milk production, our cows have the highest milk yields in Europe, and we have the most modern farms. Milk is our most important natural resource, and by increasing production, it could become an important export product and help secure our place in international competition.”

For Litagra’s founders and management, the transaction represents a new chapter. Gintaras Kateiva, founder of Litagra, said, “Over the past 35 years, what began as a business from the ground up has grown into a strong group of companies with an experienced team, solid operations, and significant potential for further growth. Invalda INVL, which joined us in 2011, became an important part of this stage of growth. We are now taking the next step, with Litagra welcoming a strong strategic investor with a long-term perspective, the resources to grow, and a deep understanding of the agricultural sector.”

Invalda INVL, which has been a shareholder since 2011, forecasts that the transaction will have a positive impact on its results. If the deal were completed on June 30, 2026, the company’s net profit for the first half of 2026 would have increased by approximately EUR 3.6 million, according to Invalda INVL’s financial results. Darius Šulnis, CEO of Invalda INVL, added, “We are pleased to pass Litagra to a professional owner with a deep understanding of the business. We are confident the company will continue supplying high-quality products to the food and agriculture sectors, remain an excellent place to work, and continue creating value for its stakeholders across the Baltic region.”

The transaction is backed by several professional advisers, including Oaklins Lithuania as M&A adviser, NOOR as legal adviser, KPMG for financial, tax, and business due diligence, and Ellex as legal counsel. The current management team of Litagra will continue to operate the company’s day-to-day activities, and Infortar does not plan any significant changes to Litagra’s existing operations.

This acquisition by Infortar is part of a broader strategy to expand its agricultural footprint in the Baltic region. Earlier this year, Infortar had acquired Estonia Farms, one of Estonia’s largest milk producers, and Halinga Farms. Together, these farms have 8,300 dairy cows and young cattle and produce up to 160 tonnes of milk per day. The group’s current subsidiaries own more than 13,000 hectares of land, contributing to Infortar’s diverse portfolio of assets and businesses.
