Integral Metals Closes C$1.25 Million Flow-Through Private Placement

Integral Metals Corp has successfully closed a non-brokered flow-through private placement, raising C$1.25 million through the issuance of 3,125,000 units. Each unit consists of one flow-through share and one transferable common share purchase warrant. The flow-through shares are intended to fund eligible Canadian exploration expenses, aiming to qualify as critical flow-through mining expenditures under the Income Tax Act (Canada).

The warrants, exercisable for one non-flow-through common share at C$0.50 each, are valid for 18 months. The gross proceeds from the flow-through shares will be renounced to the initial purchasers by the end of December 31, 2026. Integral Metals plans to use the funds for exploration activities, particularly on the KAP Project, which is one of the company’s key mineral properties.

According to Paul Sparkes, Chief Executive Officer of Integral Metals, "This private placement will allow us to further our exploration efforts on the KAP Project and contribute to the development of a domestic supply chain for critical minerals such as gallium, germanium, and rare earth elements."

Integral Metals is an exploration stage company focused on identifying and developing critical minerals in Canada and the United States. The company’s properties, including the Northwest Territories, Manitoba, and Montana, have received regulatory support for their exploration activities.

The proceeds from this offering are subject to a four-month and one-day hold period, ensuring compliance with relevant securities regulations. Integral Metals aims to leverage these funds to advance its exploration plans and maintain its position in the evolving landscape of critical mineral exploration.
