PLANO, Texas, Oct. 21, 2026 /CourierPR/ -- Integer Holdings Corporation, a leading medical device contract development and manufacturing organization, has seen its stockholders overwhelmingly approve key proposals in connection with a proposed acquisition by KKR. At a special meeting of stockholders held on October 21, 2026, the vote on the first proposal, which involves the adoption of the Merger Agreement and the Merger, was overwhelmingly in favor. Approximately 99.95% of the shares voted on the First Proposal were cast in favor, representing about 76.66% of the total outstanding shares of Integer common stock as of the record date, September 8, 2026.

The second proposal, an advisory (non-binding) vote on the compensation for Integer’s named executive officers based on or related to the Transaction, was also approved by a majority of the votes cast at the Special Meeting. This approval underscores the stockholders' confidence in the transaction and the associated compensation arrangements.

The Merger Agreement, dated as of August 2, 2026, contemplates the acquisition of Integer by Armstrong Parent, Inc. The transaction is anticipated to close by the end of 2026, subject to the satisfaction or waiver of customary closing conditions, including the receipt of required regulatory approvals. The closing is contingent upon the fulfillment of these conditions, which may include obtaining the necessary regulatory clearances and satisfying other customary closing conditions.

Integer Holdings Corporation, serving the cardio and vascular, neuromodulation, and cardiac rhythm management markets, is one of the largest medical device contract development and manufacturing organizations globally. As a strategic partner, the company advances the goals of its medical device customers through industry-leading engineering and manufacturing, with a relentless commitment to quality, service, and innovation.

The approval of the proposals at the Special Meeting is a significant step towards the completion of the Transaction. However, the company cautions that the transaction is subject to various risks and uncertainties, including the satisfaction of customary closing conditions and the receipt of necessary regulatory approvals. The company will provide a full report of the voting results from the Special Meeting in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (SEC).
