Innventure Faces Securities Fraud Lawsuit Over Data Center Deal Misrepresentations

Innventure, an industrial technology commercialization company, is facing a significant lawsuit for securities fraud. The case stems from a 55% drop in Innventure’s stock price after it allegedly misrepresented the strength and viability of its Accelsius subsidiary’s DarkNX data center deal.
According to a class action lawsuit filed by Bleichmar Fonti & Auld LLP, Innventure repeatedly highlighted Accelsius’ agreement with DarkNX to deploy Accelsius' NeuCool technology across a new 300MW AI data center campus in Ontario, Canada. The company projected Accelsius to be cash flow positive by the end of 2026 and used the DarkNX deal to support expectations for substantial revenue growth. However, the lawsuit alleges that Innventure failed to disclose that the DarkNX deal was unlikely to materialize, as there was no evidence that DarkNX was constructing or facilitating a large-scale AI data center.
On May 28, 2026, Morpheus Research published a report alleging that the DarkNX data center venture was fabricated. This news caused Innventure’s stock to drop by 8.42%, from $6.41 per share to $5.87 per share. Then, on August 13, 2026, Innventure suspended its previously communicated 2026 revenue and cash flow targets for Accelsius, and disclosed that the DarkNX project had been removed from internal bookings because the identified deployment site was no longer available. This news led to a 55% stock drop, from $3.60 per share to $1.62 per share.
The lawsuit, filed on September 8, 2026, alleges securities fraud under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Lead plaintiffs are encouraged to contact the law firm by October 27, 2026, to discuss their rights.
