Hi-View Resources Completes Non-Brokered Flow-Through Financing

Hi-View Resources Inc, a mineral exploration company based in British Columbia, has successfully completed a non-brokered flow-through financing round. The company issued 5,757,231 charity flow-through units (Charity FT Units) at a price of $0.40 each, raising a total of $2,302,892.

Each Charity FT Unit consists of one common share and one-half of a transferable common share purchase warrant. The common shares and warrants together are referred to as the Securities. The warrants will allow holders to purchase additional non-flow-through common shares at $0.42 per share for a period of 24 months from the date of issuance.

The proceeds from this financing will be used to incur eligible "Canadian exploration expenses," specifically "flow-through critical mineral mining expenditures" and "BC flow-through mining expenditures." These expenditures will be renounced with an effective date of no later than December 31, 2026, and must be incurred by December 31, 2027. The flow-through critical mineral mining expenditures will qualify for a 30% federal investment tax credit, while those incurred in British Columbia will also be eligible for a 20% additional tax credit.

To facilitate the placement, Hi-View Resources Inc paid $56,620.81 in finder's fees and issued 217,772 compensation warrants to a qualified arm's length finder. Each of these warrants entitles the holder to purchase one common share at $0.26 per share for a period of 24 months from the date of issuance.

All the securities issued are subject to a statutory hold period of four months and one day from the date of issuance. The Securities have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold within the United States or to U.S. persons.

Hi-View Resources Inc is advancing a portfolio of gold, silver, and copper assets in the Toodoggone region of northern British Columbia. The company's projects cover more than 27,910 hectares and include the flagship Golden Stranger Project, the Lawyers claims, and the Borealis Project. Additional properties under option include Saunders, Black Pearl, Oxide Summit, Nub, Ursus, Garnet, and Harmon Peak.
