Hemostemix Inc., a Calgary-based autologous stem cell therapy platform company, has announced the filing of a Form 4B to obtain price protection for the closing of the third tranche of its previously announced non-brokered private placement. The offering aims to raise $1,000,000, with each unit consisting of one common share in the capital of the Company and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire one additional common share at a price of CDN$0.12 per share for a period of 24 months from the closing date of the third tranche of the Offering, subject to the accelerated expiry provision described in the press release.
In connection with the third tranche of the Offering, Hemostemix Inc. is expecting to pay eligible finders aggregate cash finder's fees of approximately CDN $8,000 and issue 80,000 finder warrants. Each Finder Warrant entitles the holder to purchase one common share at an exercise price of CDN$0.06 per share for a period of 24 months from the closing date of the second tranche.
The proceeds of the Offering are expected to be used for sales, marketing, patient acquisition, physician education, and commercialization initiatives; production and manufacturing expenses associated with ACP-01 treatments; regulatory and filing fees associated with submissions to the Ministry of Health and Wellness of the Commonwealth of The Bahamas; and, general working capital and corporate purposes.
The Offering remains subject to final acceptance by the TSX Venture Exchange. All securities issued in connection with the second tranche of the Offering are subject to a statutory hold period of four months plus one day from the closing date in accordance with applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
