Happy Belly Food Group Inc has made a significant move in its acquisition strategy by signing a definitive agreement and closing the acquisition of a 50% interest in Ghost Taco, a fast-casual restaurant chain based in Ontario. This acquisition marks the company's first move in 2026 and is part of its broader plan to scale and consolidate emerging food brands in Canada.
Founded by Samantha Buckley, Grant Buckley, and Steve Tallis, Ghost Taco began as a pop-up and has since grown into a multi-location concept known for its bold, Mexican-inspired menu items. The brand has established a strong local presence in Ontario, with locations in Newmarket, Kingston, Whitby, Barrie, and Peterborough. Ghost Taco's unique "unauthentic Mexican" positioning and distinctive flavors have helped it build a loyal customer base.
Sean Black, CEO of Happy Belly Food Group Inc, expressed enthusiasm about the acquisition, stating, "When looking for an acquisition, we focus on the 3 P's: People, Product, and Process. With Ghost Taco, we found exactly that. Sam, Grant, and Steve have built a compelling brand with strong unit economics and category-leading growth potential."
The acquisition was structured as a joint venture, with Happy Belly subscribing for an equal number of common shares representing a 50% shareholding in the new entity. Happy Belly will provide advisory support in key areas such as sales and growth strategy, franchising, branding and marketing, corporate development, logistical optimization, and operations support. The company also retains the option to acquire the remaining 50% of Ghost Taco at a later date.
Black added, "This acquisition aligns perfectly with our financial metrics and belly check criteria. Ghost Taco is an accretive addition to our portfolio, and we are excited about the potential for franchise expansion and growth across North America."
The founders of Ghost Taco, Samantha Buckley, Grant Buckley, and Steve Tallis, welcomed the partnership, stating, "Today marks an incredible new chapter for Ghost Taco. With Sean Black and the Happy Belly Food Group team behind us, we have the experience and platform to take Ghost Taco to the next level and build one of the most exciting and fastest-growing restaurant brands in the industry."
Happy Belly Food Group Inc, a leader in acquiring and scaling emerging food brands, has a diverse portfolio that includes Heal Wellness, Rosie's Burgers, Yolks Breakfast, Via Cibo Italian Street Food, and iQ Food Co. The company's dual expansion strategy, combining franchised growth with targeted corporate store openings, highlights its focus on disciplined, predictable growth.
The acquisition of Ghost Taco is expected to drive both the top and bottom lines of Happy Belly Food Group Inc in the near future.
