Greentech Hydrogen Innovations Corp. has successfully closed the first tranche of its non-brokered private placement, raising a total of $895,000 through the issuance of 4,475,000 units. Each unit consists of one common share and one transferable common share purchase warrant. The warrants allow the holder to purchase one additional share at an exercise price of $0.40 each, valid for a period of two years from the closing date of the private placement.

The company has also implemented an acceleration provision for the warrants. Should the closing price of the shares reach or exceed $0.50 per share for ten consecutive trading days, Greentech Hydrogen Innovations Corp. may, at its discretion, accelerate the expiry of the warrants. The accelerated expiry date must be no less than thirty calendar days after the news release announcing the acceleration. This provision is designed to ensure that the company can respond quickly to market conditions and maintain flexibility in its capital structure.

In connection with the private placement, the company paid finders' fees totaling $18,550 in cash and 92,750 non-transferable finder's warrants. These finder's warrants are exercisable at $0.40 per share until the expiry date. The securities issued under the private placement are subject to a four-month and one-day hold period, expiring on February 15, 2027. This restriction is in place to prevent the immediate sale of the securities, ensuring stability in the market and protecting investors.

The funds raised will be utilized for general working capital.
