Goldgroup Mining Secures US$75 Million Private Placement

Goldgroup Mining Inc. has announced a significant US$75 million private placement, with US$60 million already committed by leading natural resource investors. The funds will support the company’s growth and exploration efforts, including the advancement of its portfolio of gold assets.

The private placement, which will offer up to 20,547,945 units at a price of US$3.65 per unit, includes substantial participation from Trafigura, Eric Sprott, Rick Rule, Fiscal Wisdom, Calu Opportunity Fund, and two additional institutional natural resource funds. The commitment of these sophisticated, long-term investors underscores the confidence in Goldgroup's strategy and vision to become a leading precious metals producer.

The Offering is designed to accelerate Goldgroup’s growth by enabling the company to pursue several strategic initiatives. These include the acceleration of exploration and resource expansion across its portfolio, the advancement of the San Francisco Gold Project toward a potential restart of operations, the continued exploration and resource growth initiatives at the Don David Gold Mine and surrounding properties, the advancement of development activities at the Back Forty Gold Project, and the pursuit of exploration and development opportunities at Cerro Prieto and other Goldgroup assets.

The net proceeds of the Offering will also strengthen Goldgroup's balance sheet and provide additional working capital. The company intends to use the funds to continue seeking and reviewing new property acquisitions and potential M&A opportunities, further supporting its strategy of building a larger-scale intermediate precious metals producer.

Each Unit in the private placement will consist of one common share of the company and one-half of one common share purchase warrant. If all 10,273,972 Warrants proposed to be issued under the Offering are exercised, the company would receive an additional US$52,397,257 in gross proceeds.

Goldgroup Mining Inc. owns and operates the Don David Gold Mine in Oaxaca, Mexico, and the Cerro Prieto Gold Mine in Sonora, Mexico, while advancing the San Francisco Gold Project toward a potential production restart and the Back Forty Project toward development. The company is listed on the TSX Venture Exchange, NYSE American, and the Frankfurt Exchange.

The Offering is expected to close on or about September 30, 2026, subject to the company receiving all necessary regulatory approvals, including the conditional approval of the TSX Venture Exchange and the approval of NYSE American. The securities will be subject to a statutory hold period pursuant to applicable Canadian securities laws ending four months and one day following the Closing Date.
