Gauzy Receives Nasdaq Delisting Notice and Plans Appeal

TEL AVIV, Israel, Sept. 21, 2026 /CourierPR/ -- Gauzy Ltd., a global leader in vision and light control technologies, has received a delisting notification dated September 15, 2026, from the Listing Qualifications Department of The Nasdaq Stock Market Inc. The company, headquartered in Tel Aviv, Israel, with subsidiaries in Germany, France, the United States, Canada, China, Singapore, and the United Arab Emirates, is now facing the possibility of being removed from the Nasdaq Global Market.
The delisting notice stems from the company's failure to meet the bid price requirement set by Nasdaq. Specifically, the company's ordinary shares had closed at less than $1 per share over the previous 30 consecutive business days, failing to comply with Listing Rule 5450(a)(1). According to the rules, Gauzy had 180 calendar days, or until September 14, 2026, to regain compliance. However, the company did not meet this requirement.
In addition to the bid price issue, Gauzy also failed to file its Form 20-F for the year ended December 31, 2025, in accordance with Listing Rule 5250(c)(1). The company had submitted a compliance plan to Nasdaq, but as a result of its failure to regain compliance with the bid price requirement, it was no longer eligible for the Staff to accept and review this plan. This additional failure served as an additional basis for the delisting.
Gauzy plans to appeal the delisting decision by requesting an oral hearing before the Nasdaq Hearings Panel. Such an appeal will result in a stay of any suspension or delisting action pending the Appeal hearing. The company's securities will continue to be fully tradeable and listed on the Nasdaq Global Market during this period.
