Galway Metals Inc., a Canadian mineral exploration and development company, has resolved a legal dispute with a former employee through a settlement agreement. The agreement, reached on September 16, 2026, involves a total payment of $800,000, comprising $500,000 in cash and $300,000 through the issuance of common shares in the company.
According to the terms of the agreement, Galway Metals will issue 619,834 common shares at a deemed price of $0.484 per share. This issuance is subject to the acceptance of the TSX Venture Exchange (TSXV). The company believes that settling the debt through the issuance of shares will help preserve its cash for ongoing operations.
The settlement comes as a result of an action filed by a former employee against Galway Metals, as disclosed in the company's financial statements. The company is focused on advancing its 100%-owned, high-grade, open-pitable flagship Clarence Stream gold project in southwest New Brunswick. The project is part of an emerging gold district with an exploration strike length of approximately 65 kilometers, and the existing resource is open in virtually all directions.
Galway Metals also holds a 90% participating interest in the Estrades Project, a former producing high-grade, gold-rich polymetallic VMS mine in the northern Abitibi of western Québec. The company's management team, known for creating shareholder value, is committed to generating value for all stakeholders.
Galway Metals Inc. is a publicly traded company listed on the TSXV (GWM) and the OTCQB (GAYMF). The company's president and CEO, Robert Hinchcliffe, stated that the settlement is a positive step for the company.
The settlement is subject to the acceptance of the TSXV, and the issued shares will be subject to a four-month and one-day hold period in accordance with applicable securities laws and the policies of the TSXV.
This resolution is part of Galway Metals' ongoing efforts to maintain a strong financial position and focus on its core business of mineral exploration and development. The company remains committed to advancing its projects and creating value for its shareholders.
