TORONTO, Oct. 16, 2026 /CourierPR/ -- Future Mineral Resources Inc., a mining company focused on acquiring and advancing brownfield, development-stage, and early production-stage mining projects in the Americas and Europe, has amended its agreement to acquire the remaining 52% ownership interest in its flagship nickel, zinc, lead project in Poland. The project, known as the Szklary nickel deposit and the Dabrowka zinc, lead deposit, is located in Poland’s established mining corridor.

Future Mineral initially acquired a 48% interest in the project in June 2025, as detailed in press releases dated June 26, 2025, and February 2, 2026. The acquisition of the remaining 52% interest is now set to be completed through the purchase of 100% of the issued and outstanding shares of Forbes EV Metals Inc., which owns 52% of Ferrite Resources Polska sp. z o.o. (Ferrite Polska), a private company incorporated under Polish law.

The amended agreement, dated February 2, 2026, includes several key changes. The $2,600,000 payable to the vendors will now be satisfied through promissory notes issued by Future Mineral, each bearing 10% annual interest, payable annually, and maturing twenty-four (24) months following the acquisition closing date. These promissory notes can be prepaid by the company at any time without penalty, and overdue amounts will accrue interest at 12% per annum until paid.

Furthermore, the amendment includes a first-ranking pledge on all shares of Ferrite Polska held, directly or indirectly, by Future Mineral. The outside date by which the acquisition must be completed has been extended to December 31, 2026, and the delivery of the promissory notes and pledge documents has been added as conditions precedent.

The acquisition remains subject to several conditions precedent, including the receipt of necessary approvals from the Toronto Stock Exchange, provision of legal opinions concerning corporate matters and title, and other customary closing conditions. The company anticipates that the acquisition will close in November 2026.

Future Mineral Resources Inc. continues to focus on expanding its portfolio of mining projects in the Americas and Europe.

The amended agreement underscores Future Mineral's dedication to strategic acquisitions and the consolidation of its mining assets. The company remains focused on leveraging its expertise to develop and produce valuable minerals from its projects, contributing to the global supply chain.
