Forge Resources Corp Closes Private Placementraising $2M

Forge Resources Corp. has successfully closed a private placement of units, raising $2,000,000 through the issuance of 8,000,000 units. Each unit consists of one common share and one warrant, with the warrants allowing the holder to purchase one common share at an exercise price of $0.40 per share for a period of two years, expiring on September 15, 2028.
The private placement was managed by Ventum Financial Corp., which acted as the sole agent and bookrunner. Forge Resources Corp. paid a commission of 7.0% of the Offering, amounting to $140,000, and issued compensation warrants equivalent to 7.0% of the Offering. These compensation warrants entitle the holder to acquire one unit at a price of $0.25 per unit for a period of two years, expiring on September 15, 2028.
The net proceeds from the Offering will be used as described in the Company's offering document, which is available on SEDAR+ (www.sedarplus.ca). Forge Resources Corp., a Canadian-listed junior exploration company, is focused on the Alotta project, a prospective porphyry copper-gold-molybdenum project located in the Yukon Territory of Canada. The Company also holds an 80% interest in Aion Mining Corp., which is developing the fully permitted La Estrella coal project in Santander, Colombia.
Forge Resources Corp. The Offering was completed in compliance with the "Listed Issuer Financing Exemption" under Part 5A of National Instrument 45-106 - Prospectus Exemptions, as amended by CSA Coordinated Blanket Order 45-935 - Exemptions from Certain Conditions of the Listed Issuer Financing Exemption. The securities were issued in all provinces of Canada, except Quebec, and other qualifying jurisdictions, and are not subject to any statutory hold period pursuant to applicable Canadian securities laws.
