Fnac Darty, a European leader in omnichannel retail, has received clearance from the European Commission for the takeover bid initiated by EP Group. This approval paves the way for the anticipated closing of the Offer, which is expected to begin in November 2026.
The Offer, which was approved by the Autorité des marchés financiers (AMF) on May 7, 2026, sets the price at €35 per share, following the payment of the €1.0 dividend for the 2025 financial year. For OCEANEs, the price is €81.161. EP FR HOLDCo, a company controlled by EP Group, was granted the AMF visa under number 26-128, and Fnac Darty's response document was approved under number 26-129.
The Board of Directors of Fnac Darty, on the recommendation of the Ad Hoc Committee, issued a favorable opinion on the Offer, as detailed in the response document. Ledouble, an independent expert, confirmed that the financial conditions of the Offer are fair for Fnac Darty's shareholders and OCEANE holders.
As a result of the merger control clearance, the AMF will announce the final timetable for the Offer, including the closing date, in the coming days. The Offer is part of EP Group's strategy to acquire Fnac Darty, a company with a strong presence in 15 countries, mainly in France, Italy, Belgium, Portugal, Spain, and Switzerland. With nearly 30,000 employees and a multi-format network of around 1,500 stores, Fnac Darty has a robust position in the market, having recorded sales of more than €10 billion in 2025.
With its strategic plan for 2030, Beyond everyday, Fnac Darty is focused on expanding its presence in Europe and deepening its model based on omnichannel, services, and circularity. The company's strong financial performance and strategic vision make it an attractive target for EP Group, which aims to consolidate its position in the European retail sector.
The Offer represents a significant step in the consolidation of the retail industry, with the European Commission's clearance marking the final approval needed for the acquisition. The closing of the Offer is expected to bring together two leading players in the European retail market, potentially reshaping the landscape of consumer electronics and household appliances retail.
