Euro Sun Mines Secures $400M Financing for Rovina Valley Project

TORONTO, Sept. 03, 2026 /CourierPR/ -- Euro Sun Mining Inc., a Toronto Stock Exchange-listed company, has made significant strides in securing financing for its Rovina Valley Gold-Copper Project in Romania. On September 3, 2026, Euro Sun announced a non-binding Memorandum of Understanding (MoU) with Macquarie Bank Limited and Trafigura PTE LTD, both of which have agreed to work together on a proposed senior project finance facility of up to $400 million to support the development of the project.
Under the terms of the MoU, Macquarie and Trafigura will collaborate over an 18-month period to conduct due diligence, develop a financing structure, and seek internal approvals necessary to deliver a commitment letter for arranging, syndicating, and underwriting the facility. The MoU includes customary exclusivity provisions, a right of first refusal for Macquarie to participate in up to 15% of any qualifying alternative financing transactions during the term of the MoU and for 12 months following its termination, and standard cost reimbursement, confidentiality, and indemnity provisions.
Additionally, Euro Sun has reached a term sheet agreement with Urion Investments Holdings Limited, a Trafigura Group company, for a strategic equity investment of $3 million. Under the proposed terms, Urion will subscribe for approximately 21.5 million units, each consisting of one common share and one-half of one common share purchase warrant. Each warrant will be exercisable to acquire one common share at a price of $0.40 per share for 48 months from the closing of the Offering. The offering is expected to close on or about September 4, 2026, subject to certain conditions, including Toronto Stock Exchange approval, board approval, and execution of definitive agreements.
Grant Sboros, CEO of Euro Sun, stated, "The signing of this MoU with Macquarie and Trafigura, alongside the strategic equity investment by Trafigura, represent a significant milestone for the Rovina Valley Project. Together with our existing arrangements, these agreements establish a substantial portion of the financing framework contemplated to advance the Project toward construction, subject to securing the remaining financing."
The Rovina Valley Project, located in west-central Romania, hosts the second-largest copper and gold deposit in Europe. Already granted European strategic status, the project is expected to unlock much-needed investment and job creation in Hunedoara County and will deliver critical minerals necessary for Europe's green energy transition. Euro Sun plans to use the net proceeds of the Offering for the Rovina Valley Project and general corporate purposes.
While the MoU and term sheet are non-binding and intended solely as a basis for further discussion, they represent a crucial step in Euro Sun's financing efforts. Sboros emphasized that, "These agreements, in conjunction with our existing commitment from Trafigura, underscore our commitment to shareholders and the progress we are making toward advancing the Rovina Valley Project."
Euro Sun remains cautious, noting that the MoU and Offering are supplementary to, and do not alter or replace, the existing $200 million commitment from Trafigura, which remains in full force and effect on its current terms. The company advises that forward-looking information involves risks and uncertainties, including the risk that the MoU or term sheet may not result in definitive agreements and the risk that necessary approvals, including Toronto Stock Exchange approval, may not be obtained.
