Eucalyptus Resources Reminds TNR Gold Shareholders of Voting Deadline

Eucalyptus Resources, a significant shareholder of TNR Gold Corp., has reminded shareholders of the impending voting deadline for the upcoming annual general and special meeting. Shareholders have until 9:00 p.m. (Eastern Time) on September 17, 2026, to cast their vote on the GREEN proxy, which supports the nominees put forward by Eucalyptus Resources and its joint actors, Jon Christian Evensen and Alicia Cauteruccio Evensen.

The Eucalyptus Resources nominees, now supported by over 45% of the shares, aim to bring about positive change at TNR Gold Corp. The Eucalyptus Resources nominees include four independent and highly qualified individuals, each owning or controlling at least 800,000 shares, collectively over 37 million shares. These shares were purchased in the market, in contrast to the Klip family's shares, which were issued from the company's treasury.

Eucalyptus Resources has highlighted the stark choice shareholders face: continue to support the Klip family's business model, which has seen little progress on the royalty portfolio or the Shotgun Project, or support the Eucalyptus Resources nominees, who would align with other shareholders and bring about a change in leadership. The market has already shown a positive reaction to the Eucalyptus Resources nominees, with two key actions leading to the largest single-day gains in TNR's stock price over the previous five years.

TNR Gold Corp. has responded to the Eucalyptus Resources' announcement by abandoning any attempt to argue based on the record of its nominees or its plans for the company. Instead, TNR has moved to meritless claims, threatening shareholder democracy. Eucalyptus Resources has advised the British Columbia Securities Commission (BCSC) of TNR's September 15, 2026, press release, which it deems a desperate response to the growing support for the Eucalyptus Resources nominees.

Eucalyptus Resources is concerned that TNR may continue to use tactics reminiscent of the playbook used by NorthWest Copper Corp. in 2023, where NorthWest used allegations of joint actors and a related hearing at the BCSC to delay a contested annual meeting and seek an order prohibiting certain votes from being counted. Eucalyptus Resources has called on TNR to respect the will of shareholders and proceed with the meeting as scheduled on September 22, 2026, without any interference on shareholder democracy.
