Eastfield Resources Ltd. has finalized an agreement to sell its 100% interest in the Zymo mineral property and its 95.3% interest in the Indata mineral property to Star Copper Corp. The deal, valued at 10,000,000 shares of Star Copper, marks a significant move for Eastfield, as detailed in a press release issued on September 10, 2026.

The transaction, subject to certain conditions, is a non-arm’s length disposition, given that William Morton, the President, CEO, and a Director of Eastfield, is also a Director of Star Copper. Morton has recused himself from the transaction, ensuring a fair process. Eastfield will seek written consent from at least 50% of its disinterested shareholders to proceed, a requirement stipulated by the TSX Venture Exchange.

"This sale reflects a strategic decision by Eastfield to realign its portfolio," said David Douglas, CFO and Director of Eastfield Resources Ltd. "The transaction is subject to the acceptance of the TSX Venture Exchange and the completion of the necessary shareholder approvals."

Despite the previous disclosure in Eastfield’s June 30, 2026, news release, the transaction is not classified as a related party transaction. Additionally, no finder’s fees will be paid in connection with this deal.

The sale underscores Eastfield’s commitment to optimizing its mineral property holdings and aligning its assets with broader market strategies. Star Copper Corp., through this acquisition, aims to expand its mineral property portfolio, potentially bolstering its position in the sector.

Eastfield Resources Ltd. continues to focus on its remaining assets and future opportunities, while Star Copper Corp. looks forward to integrating the Zymo and Indata properties into its operations. The deal is expected to close in the coming months, subject to regulatory approval and shareholder consent.
