Dolby Grants Equity Awards to New CEO Marc Whitten

SAN FRANCISCO, Sept. 15, 2026 /CourierPR/ -- Dolby Laboratories, Inc., a leader in immersive entertainment, has announced the granting of inducement equity awards to its newly appointed President and Chief Executive Officer, Marc Whitten. The awards, granted under the company’s 2026 Inducement Stock Plan, are part of a comprehensive package designed to attract and retain top talent as Whitten begins his tenure.

Whitten's inducement package includes a time-based restricted stock unit (RSU) grant, valued at approximately $10 million at the time of grant. This grant consists of 160,256 RSUs, which are scheduled to vest semi-annually over a two-year period, contingent on Whitten's continued employment with the company. The RSUs are based on the average closing price of Dolby's Class A Common Stock over the 30 trading days preceding the grant date.

In addition to the time-based RSUs, Whitten also received an award of 600,000 performance-based RSUs, divided into five tranches of 150,000 each. These RSUs are designed to vest upon the achievement of specific stock price hurdles, set at $75, $100, $125, $150, and $175, averaged over a 60-trading-day period within a five-year performance period. The vesting of these RSUs is subject to Whitten's continued employment as CEO on the achievement date.

The inducement awards were approved by the independent Compensation Committee of Dolby's Board of Directors and were granted as a material inducement to Whitten's employment with the company, in accordance with New York Stock Exchange Rule 303A.08. The awards are subject to the terms of the 2026 Inducement Stock Plan and related agreements.
