Curaleaf Urges Aurora Shareholders to Accept Offer for 45% Premium

Curaleaf Holdings, Inc., a leading international provider of consumer and medical cannabis products, has sent a letter to Aurora Cannabis Inc. shareholders, urging them to accept its offer and become part of the world's largest cannabis company. The offer, which includes a 45% premium, promises immediate value and the potential for future growth.
In the letter, Curaleaf Chairman and CEO Boris Jordan encourages Aurora shareholders to review the facts and carefully consider their options. Jordan states, "Aurora shareholders have an important choice to make. They can accept a 45% premium and become owners of the world's largest and most diversified cannabis company, or remain invested in a business that is shrinking and losing profitability."
The offer from Curaleaf includes 0.3463 Curaleaf shares and US$0.75 in cash for each Aurora share, valued at US$4.00 per Aurora share based on the 30-day volume-weighted average price on August 10, 2026. This offer is seen as a significant opportunity for Aurora shareholders to realize immediate value while continuing to participate in the future of the combined company.
According to Curaleaf, the combined entity would create the global cannabis leader with operations in 17 countries, generating over US$1.5 billion in revenue and nearly US$350 million in adjusted EBITDA. The offer also includes expected annual cost synergies of at least US$40 million. Curaleaf believes that Aurora shareholders would gain exposure to the leading U.S. platform and potential regulatory reforms, while retaining a stake in Aurora's international business.
The letter also highlights the financial performance of both companies. Over the first six months of 2026, Curaleaf shares increased by approximately 50%, while Aurora shares declined by about 34%. Additionally, Aurora's net revenue and adjusted EBITDA declined by 14% and 78%, respectively, while operating cash flow went negative.
