Coloplast Fonden Gains Majority Control Through Share Transfer

Coloplast A/S has undergone significant changes in its ultimate ownership structure, as detailed in a major shareholder announcement made on 4 September 2026. The changes, which involve the transfer of shares by NPLH Holding ApS to Coloplast Fonden, mark a major shift in the company's governance.
NPLH Holding ApS, a company fully owned and controlled by Niels Peter Louis-Hansen, has gifted all its shares in Coloplast Holding ApS to Coloplast Fonden. Following this transfer, Niels Peter Louis-Hansen retains a small stake, holding directly and indirectly 3.65% of the voting rights and 1.92% of the share capital in Coloplast A/S.
Coloplast Fonden, through this acquisition, has gained substantial control. It now indirectly controls 51.36% of the voting rights and 18.46% of the share capital in Coloplast A/S. Coloplast Holding ApS, which holds 51.36% of the voting rights and 29.49% of the share capital, remains a key player in the ownership structure.
Coloplast Fonden has further strengthened its position by contributing its shares in Coloplast Holding ApS to its wholly owned subsidiary, CF Holding af 2026 ApS. As a result, CF Holding af 2026 ApS now indirectly controls 51.36% of the voting rights and 18.46% of the share capital in Coloplast A/S.
In a proportional analysis, the voting rights indirectly held by Coloplast Fonden, through CF Holding af 2026, would amount to 36.51%. However, due to CF Holding af 2026 ApS holding a majority of the voting rights in Coloplast Holding ApS, Coloplast Fonden is considered to control the full 51.36% of the voting rights attached to Coloplast Holding ApS’ shares in Coloplast A/S, while the share capital is stated on a proportional basis.
These changes are in accordance with section 30 of the Danish Capital Markets Act, ensuring transparency and compliance with regulatory requirements.
