NEW ORLEANS, Sept. 11, 2026 /CourierPR/ -- Cogent Communications Holdings, Inc., a provider of global broadband services, is facing a securities fraud class action lawsuit. The lawsuit, filed by Kahn Swick & Foti, LLC, alleges that the company failed to disclose material information during the period from February 29, 2024, to May 1, 2026, inclusive. Specifically, the lawsuit claims that Cogent misrepresented the nature and likelihood of its optical wavelength "backlog" and the demand for its services.
According to the lawsuit, the majority of the purported orders in Cogent's optical wavelength backlog were unlikely to result in paid orders. Additionally, many of the "backlog" customers were unable or unwilling to accept delivery even if timely provision was possible. As a result, Cogent is accused of materially misrepresenting its demand for optical wavelength services and the nature of its backlog.
The lawsuit further alleges that Cogent was not on track to achieve its revenue and margin targets, and that these targets lacked a reasonable basis in objective fact. It is also claimed that the company did not have the financial capacity or business fundamentals to maintain its long-standing dividend policy. Furthermore, there was a material, undisclosed risk that Cogent Founder, CEO, and Chairman, David Schaeffer, would be forced to sell vast quantities of Cogent stock due to his high-risk pledging activities, which would further depress the company's stock price.
The lawsuit was filed in the United States District Court for the District of Columbia. Investors who purchased Cogent shares between February 29, 2024, and May 1, 2026, and who suffered substantial losses, are encouraged to contact Lewis Kahn, Esq., at Kahn Swick & Foti, LLC, to discuss their legal rights and options. Investors have until September 21, 2026, to file a lead plaintiff application in the case.
KSF, a boutique securities litigation law firm, is representing the investors in this case. The firm's Managing Partner, Lewis Kahn, stated, "We are committed to protecting the interests of our clients and ensuring that they are aware of their legal rights in this matter. We urge any investors who believe they may have been affected by Cogent's alleged misrepresentations to contact us."
The lawsuit highlights the importance of transparency and accurate financial reporting in the telecommunications industry. Cogent's alleged failure to disclose material information could have significant implications for the company and its shareholders.
