Clearmind Medicine Acquires 51% Stake in Charging Robotics

Clearmind Medicine Inc., a clinical-stage biotech company focused on developing non-hallucinogenic psychedelic therapeutics, has announced a significant strategic move by entering into a definitive agreement to acquire a 51% stake in Charging Robotics, an innovator in wireless charging solutions for automated parking and autonomous vehicles. The acquisition, valued at $2.5 million, is expected to enhance Clearmind's capabilities in addressing the growing demand for sustainable and efficient electric vehicle (EV) charging infrastructure.

Charging Robotics, based in Vancouver, Canada, specializes in designing intelligent, wireless charging systems tailored for automated parking facilities and autonomous mobile platforms. The company’s proprietary technology enables continuous charging of up to 10 kW, featuring smart vehicle communication and dynamic energy management that allocates power in real-time. This system integrates seamlessly with robotic parking platforms and autonomous vehicle workflows, eliminating the need for manual connections and traditional charging stations. The technology is aimed at making EV charging a background function of smart parking and autonomous mobility, thereby improving utilization, safety, and the user experience in densely populated urban areas.

Under the terms of the agreement, Clearmind will extend a $1.5 million loan to Charging Robotics, carrying an interest rate of 4% per annum. The loan is repayable within three years, with the principal and accrued interest due on the closing date. However, if Charging Robotics fails to generate positive cash flow from its operations by that date, the repayment period will be extended until the company achieves such cash flow, at which point the loan will be repaid. The closing of the acquisition is scheduled for the week of September 7, 2026, contingent upon the satisfaction of certain closing conditions.

The company’s current intellectual portfolio includes 32 granted patents, with plans to seek additional patents and opportunistically acquire additional intellectual property to strengthen its portfolio.

The acquisition is subject to regulatory approval and other customary closing conditions, and Clearmind cautions that there can be no assurance that the acquisition will be completed on schedule or at all.
