RADNOR, Pa., Kessler Topaz Meltzer & Check, LLP, a prominent securities litigation law firm, has filed a class action lawsuit against The Simply Good Foods Company (NASDAQ: SMPL) on behalf of investors who purchased the company's common stock between October 24, 2024, and April 8, 2026. The lawsuit, filed in the United States District Court for the Southern District of New York, alleges that the company engaged in securities fraud by making material misstatements and omissions concerning its strategy for the acquisition of OWYN.

According to the complaint, the acquisition of OWYN for $280 million was initially touted as a diversification move that would strengthen the company's retail presence. However, the lawsuit claims that key managers left the company following the acquisition, and the integration process was beset by organizational issues and product quality problems. Specifically, the complaint alleges that Good Foods faced significant product quality control issues due to a switch to an inferior supplier, leading to a decline in sales and customer loyalty. Additionally, the company experienced margin erosion due to execution failures and increased management costs, prompting heavy discounting and reduced brand support.

In a second quarter 2026 earnings announcement, released on April 9, 2026, Good Foods disclosed that customer consumption had fallen across all its brands, particularly OWYN, which experienced a 17% year-over-year sales contraction. This announcement sent the company's stock price plummeting by more than 27% over a two-day trading period.

Kessler Topaz Meltzer & Check, LLP, has a history of significant recoveries in securities litigation and has been recognized for its work in investor protection. The firm operates with offices in Pennsylvania and California and has recovered over $25 billion for its clients and the classes they represent.
